Supervisory Board and Template 231
On April 29, 2024, the Board of Directors of Vimi Fasteners S.p.A. appointed its Supervisory Board, which will remain in office until the date of approval of the financial statements as of 12/31/2026.
The supervisory Board consists of two external members (one of whom was nominated President of the Board) and one internal member as Internal Audit of the Company.
The members of the Supervisory Board are:
- Ferdinando Del Sante : President of the Board
- Paola Prati : Member of the Board
- Silvia Di Meo: Member of the Board
The supervisory board has multiple functions such as supervising the organization model, managing and controlling, and monitoring the ethical code adopted by Vimi Fasteners Spa.
The Organizational Model, Manage and Control and the Ethical Code state that anyone who attains information regarding criminal activities or behaviors non-conforming to Vimi Fasteners’ rules of conduct (according to D.Lgs.231/2011) can spontaneously report these activities to the supervisory board by sending an email to the following address:a organodivigilanza@vimifasteners.com.
